Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Supah, Inc. (“Supah,” “we,” “us,” or “our”) governing your use of supahlabs.com and registration for the Supah waitlist.
1. Acceptance and scope
By accessing the site or registering, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the site or register.
These Terms govern only supahlabs.com and its waitlist. SupahID, account.supah.id, Supah native applications, Ledgr, and other products or services may be governed by separate terms presented when you use them.
2. Eligibility
You must be at least 18 years old or the age of majority where you live, whichever is greater, and able to enter a binding contract. Registration is currently available only to people located in the United States. If you use the site for an organization, you represent that you are authorized to bind it to these Terms.
3. Waitlist registration
You agree to provide current, accurate information and to use your own contact and location information. Location permission is required to confirm the current launch boundary. You may not impersonate another person, submit misleading information, or manipulate location or network signals.
Registration records an expression of interest only. It does not guarantee an invitation, place in line, access date, product availability, identity verification, or eligibility for any Supah service. We may change rollout timing or eligibility, request additional information, decline a registration, or discontinue the waitlist at any time.
4. Acceptable use
You may not:
- violate law or the rights of others;
- interfere with or disrupt the site, registration flow, or infrastructure;
- introduce malware or attempt unauthorized access;
- circumvent security, rate limits, or geographic restrictions;
- use automated means to submit registrations or scrape the site in a manner that burdens our systems; or
- misrepresent an affiliation with Supah or use the site to deceive or harm others.
Nothing in these Terms limits activity that applicable law expressly permits despite a contractual restriction.
5. Supah materials
The site and its text, design, graphics, software, trademarks, research, and other materials are owned by Supah or its licensors and are protected by law. Except as law permits, you may not copy, modify, distribute, sell, license, or create derivative works from those materials without written permission. You may link to public pages and quote reasonable portions of published research with attribution.
If you voluntarily provide suggestions or feedback, you grant Supah a worldwide, perpetual, irrevocable, royalty-free right to use it without restriction or compensation to you.
6. Research and informational content
Research papers, working notes, descriptions of future systems, and other site content are provided for general information. They are not promises that a feature or service will be released and do not constitute legal, financial, medical, or other professional advice. You are responsible for evaluating information before relying on it.
7. Third-party services and links
The site may link to services we do not operate, including Ledgr. We are not responsible for third-party content, availability, security, or practices. Your use of a third-party service is governed by its own terms and policies.
8. Changes, suspension, and termination
We may modify, suspend, or discontinue any part of the site or waitlist at any time. We may restrict access or remove a registration if we reasonably believe these Terms were violated or action is needed to protect Supah, users, or others. Provisions that by their nature should survive will remain in effect, including ownership, disclaimers, liability limits, indemnity, and dispute provisions.
9. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE, WAITLIST, AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SUPAH DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE ACCURATE, UNINTERRUPTED, SECURE, OR ERROR-FREE.
Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPAH AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR OPPORTUNITIES, ARISING FROM THE SITE OR WAITLIST. THEIR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID SUPAH FOR THE SITE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limitations do not apply where prohibited by law and do not limit liability that cannot legally be limited.
11. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Supah and its directors, officers, employees, affiliates, and agents from claims, damages, losses, and reasonable expenses arising from your violation of these Terms, misuse of the site, or infringement of another person’s rights.
12. Governing law and courts
New York law governs these Terms, without regard to conflict-of-law rules. Any dispute arising from these Terms or the site must be brought exclusively in the state or federal courts located in New York County, New York, and you and Supah consent to their jurisdiction. Nothing here prevents either party from seeking appropriate injunctive relief. Applicable consumer-protection rights in your home jurisdiction remain unaffected where they cannot be waived by contract.
13. Changes to these Terms
We may update these Terms by posting the revised version and changing the effective date. Material changes apply prospectively. Your continued use of the site after revised Terms take effect constitutes acceptance of those Terms.
14. General
These Terms and the Privacy Policy are the entire agreement regarding the site and waitlist. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; Supah may assign them as part of a reorganization, financing, merger, acquisition, or asset transfer.
